Terms governing our calibration services and business relationship

Welcome to Zero Drift. These Terms and Conditions ("Terms") govern your use of our website and calibration services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Services Provided
1.1 Calibration Services
Zero Drift provides metrology and calibration services for various types of measurement equipment including, but not limited to:
- Pressure measuring instruments and devices
- Laboratory fume hoods and biosafety cabinets
- Scales, balances, and weighing equipment
- Other measurement equipment as agreed upon
1.2 Service Standards
All calibration services are performed according to:
- Published service capabilities and procedures
- ISO/IEC 17025 principles and requirements
- NIST traceable measurement standards
- Applicable industry standards and regulations
1.3 Turnaround Times
Quoted turnaround times are estimates based on normal circumstances and are not guarantees. Actual turnaround may vary based on equipment condition, workload, and other factors. We will notify you promptly of any significant delays. Rush and same-day services are available for an additional fee, subject to availability.
2. Quotes and Pricing
2.1 Quote Validity
Quotes are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on:
- Actual equipment condition upon receipt
- Additional work required beyond initial scope
- Special requirements or rush services requested
- Changes in equipment specifications or quantities
2.2 Additional Charges
We will notify you and obtain authorization before performing work that exceeds the quoted price, except for minor variations. Additional charges may apply for:
- Equipment requiring cleaning or decontamination
- Out-of-tolerance equipment requiring adjustment or repair
- Rush or expedited service
- On-site calibration services
- Special testing or documentation requirements
3. Payment Terms
3.1 Payment Methods
We accept payment via check, ACH transfer, and major credit cards (Visa, MasterCard, American Express, Discover).
3.2 Payment Due Date
Payment terms are as follows:
- Established Accounts: Net 30 days from invoice date for approved customers with established credit
- New Customers: Payment in advance or COD (Cash on Delivery) may be required for initial orders
- Large Orders: 50% deposit may be required for orders exceeding a specified amount
3.3 Late Payments
Past due accounts are subject to a finance charge of 1.5% per month (18% annual percentage rate) or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with outstanding balances.
4. Equipment Handling and Liability
4.1 Customer Responsibilities
Customers are responsible for:
- Ensuring equipment is clean and free of hazardous materials before submission
- Providing accurate equipment information and specifications
- Notifying us of any special handling requirements
- Properly packaging equipment for shipment
- Maintaining appropriate insurance coverage for their equipment
- Picking up or arranging return shipment of calibrated equipment within 30 days
4.2 Our Care Standards
We exercise reasonable care in handling, storing, and calibrating customer equipment. However, we are not responsible for:
- Damage due to inherent defects or pre-existing damage
- Damage that occurs during authorized testing, adjustment, or calibration procedures
- Failure of equipment due to normal wear and tear
- Loss or damage during shipping (unless we arranged shipping)
- Equipment abandoned for more than 90 days after calibration completion
4.3 Hazardous Materials
Equipment contaminated with hazardous, toxic, or radioactive materials must be declared prior to submission. We reserve the right to refuse service or charge additional fees for decontamination. Failure to disclose contamination may result in charges for cleanup and disposal, and potential legal action.
4.4 Abandoned Equipment
Equipment not picked up or claimed within 90 days of calibration completion will be considered abandoned. After notification, we may dispose of abandoned equipment and charge storage fees. We are not liable for abandoned equipment.
5. Calibration Certificates and Data
5.1 Certificate Issuance
Upon completion of calibration services, we issue a calibration certificate containing:
- Equipment identification and description
- Calibration date and due date (if requested)
- As-found and as-left measurement data
- Reference standards used with traceability information
- Environmental conditions during calibration
- Measurement uncertainty where applicable
- Digital signature and certification
5.2 Data Retention
We retain calibration records for a minimum of 5 years in accordance with ISO/IEC 17025 requirements. Customers may request copies of historical calibration data during this retention period.
5.3 Certificate Accuracy
Certificates reflect the condition of equipment at the time of calibration. We are not responsible for equipment performance after it leaves our facility or for measurements made using the equipment.
6. Warranties and Limitations
6.1 Service Warranty
We warrant that our calibration services will be performed with professional care and in accordance with applicable standards. If an error is discovered in our calibration work within 30 days of service completion, we will re-calibrate the equipment at no charge.
6.2 Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY PROVIDED ABOVE, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. We do not warrant that equipment will meet customer specifications after calibration, only that the calibration was performed accurately.
6.3 Limitation of Liability
OUR LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES IS LIMITED TO THE COST OF THE CALIBRATION SERVICE PROVIDED. WE ARE NOT LIABLE FOR:
- Consequential, incidental, indirect, or special damages
- Lost profits or revenue
- Costs of equipment downtime or replacement
- Product recalls or liability claims
- Costs of retesting or revalidation
- Claims made more than one year after service completion
7. Confidentiality and Intellectual Property
7.1 Confidentiality
We maintain strict confidentiality of customer equipment information, calibration data, and proprietary information in accordance with ISO/IEC 17025 requirements. We will not disclose customer information to third parties except as required by law or with customer authorization.
7.2 Intellectual Property
All content on this website, including text, graphics, logos, and images, is the property of Zero Drift or its content suppliers and is protected by copyright and intellectual property laws. Calibration procedures, techniques, and documentation formats are proprietary to Zero Drift.
8. Dispute Resolution
8.1 Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin.
8.2 Informal Resolution
We encourage customers to contact us directly to resolve any concerns or disputes before pursuing formal legal action. Most issues can be resolved through open communication and good faith negotiation.
8.3 Complaints
If you have a complaint about our services, please submit it in writing to the address below. We will acknowledge receipt within 5 business days and provide a response within 30 days. Our complaint handling procedure is available upon request.
9. Cancellations and Returns
9.1 Cancellation Policy
Customers may cancel service requests before work begins without penalty. Once calibration work has commenced, cancellation fees may apply to cover costs incurred. Equipment must be picked up or returned at customer expense.
9.2 Refunds
Refunds are provided only if we are unable to perform the requested calibration service. Partial refunds may be issued for work not completed. No refunds are provided for completed calibration services.
10. General Provisions
10.1 Entire Agreement
These Terms, together with any written service agreement or quote, constitute the entire agreement between you and Zero Drift regarding our services and supersede all prior communications and proposals.
10.2 Modifications
We reserve the right to modify these Terms at any time. Updated terms will be posted on our website with a new effective date. Continued use of our services after changes constitutes acceptance of the modified terms.
10.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
10.4 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Zero Drift.
10.5 Force Majeure
We are not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, labor disputes, equipment failures, or supply chain disruptions.
